End-User Licence Agreement

Important: This EULA governs your use of the Voltquant platform. Voltquant's AI tools generate outputs to assist professional decision-making — they do not replace the professional judgement of qualified engineers, project managers, or other specialists. You are responsible for verifying all AI-generated outputs before acting on them.

1. Agreement

This End-User Licence Agreement ("EULA") is a legal agreement between you ("User") and Voltquant Ltd ("Voltquant") governing your access to and use of the Voltquant platform, including all features, tools, AI-powered modules, and associated services (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by this EULA. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to this agreement.

2. Licence Grant

Subject to your compliance with this EULA and any applicable subscription agreement, Voltquant grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your organisation's internal business purposes.

This licence does not permit you to:

  • Sub-license, sell, resell, transfer, or assign the Platform or your access to it
  • Reproduce, modify, or create derivative works based on the Platform
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform
  • Use the Platform to develop a competing product or service
  • Access the Platform by automated means (bots, scrapers, crawlers) without prior written consent

3. User Content

You retain ownership of all documents, data, and files you upload to the Platform ("User Content"). By uploading User Content, you grant Voltquant a limited, non-exclusive licence to process that content solely for the purpose of providing the Platform services to you.

You represent and warrant that:

  • You have the right to upload and process the User Content
  • The User Content does not infringe any third party's intellectual property rights
  • The User Content does not contain unlawful, sensitive, or regulated information beyond what is necessary for the platform's intended use

Voltquant will not use your User Content to train AI models without your explicit consent.

5. Intellectual Property

The Platform, including all software, design, content, and technology, is the exclusive property of Voltquant Ltd and its licensors, protected by copyright and other intellectual property laws. Nothing in this EULA transfers ownership of any Platform intellectual property to you.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Voltquant's total aggregate liability to you for any claim arising out of or related to this EULA or the Platform shall not exceed the greater of: (a) the fees paid by you to Voltquant in the three months preceding the claim, or (b) £500.

Voltquant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or costs arising from reliance on AI-generated outputs.

Nothing in this EULA limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Termination

Voltquant may suspend or terminate your access to the Platform immediately if you breach this EULA or any applicable subscription agreement. Upon termination, your licence to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

8. Governing Law

This EULA is governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

AI Limitations

Voltquant does not warrant the accuracy of any AI-generated output.

In particular, where the platform is used to review technical documents against specifications or standards — including but not limited to electrical, mechanical, civil, or structural engineering documents — the outputs must be verified by a qualified engineer before any action is taken.

Availability

We aim to keep the Voltquant platform and website available at all times, but we accept no liability if the platform is unavailable for any period. Access may be temporarily suspended for maintenance, upgrades, or reasons outside our control.

Limitation of Liability

To the fullest extent permitted by law, Voltquant Ltd excludes all liability for any loss or damage arising from use of, or reliance on, information or outputs from this website or the Voltquant platform. This includes, without limitation, direct, indirect, incidental, consequential, or punitive loss arising from engineering decisions, commercial decisions, regulatory submissions, or any other action taken based on platform outputs.

Nothing in this disclaimer excludes or limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by English law.

Governing Law

This disclaimer is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Acceptable Use Policy

Voltquant is designed for professional use in infrastructure and engineering contexts. This policy sets out what constitutes acceptable and unacceptable use of the platform. Violations may result in immediate account suspension.

1. Purpose

This Acceptable Use Policy ("AUP") governs the use of the Voltquant platform by all users, including individual users and users accessing the platform on behalf of an organisation. This AUP supplements and should be read alongside the EULA and Privacy Policy.

2. Permitted Use

The Voltquant platform is intended for professional use in infrastructure, engineering, and related industries. Permitted uses include:

  • Uploading and processing technical documents, drawings, and specifications for review
  • Using AI tools to assist in the analysis and quality-checking of engineering submittals
  • Generating reports based on project data held within the platform
  • Querying project knowledge bases using the Insight Engine
  • Managing and organising project files and workflows within your workspace

3. Prohibited Use

You must not use the Voltquant platform to:

  • Upload documents or data to which you do not have the legal right to process or share
  • Upload content containing personal data of third parties unless such processing is lawful and disclosed to those individuals
  • Attempt to circumvent, probe, or compromise the platform's security, authentication, or access controls
  • Introduce malware, viruses, or other malicious code into the platform
  • Engage in scraping, harvesting, or automated extraction of data from the platform without prior written consent
  • Use the platform in any way that violates applicable law or regulation, including data protection, intellectual property, and export control laws
  • Attempt to reverse-engineer, decompile, or replicate Voltquant's AI models or proprietary algorithms
  • Use AI-generated outputs in any final regulatory submission, procurement decision, or safety-critical context without independent professional verification
  • Impersonate any person or organisation, or misrepresent your affiliation
  • Share login credentials or allow unauthorised third parties to access your account
  • Use the platform to train, fine-tune, or otherwise improve external AI models

4. Sensitive and Regulated Content

Users in regulated industries (including but not limited to energy, utilities, civil infrastructure, and defence) are responsible for ensuring their use of the platform complies with all applicable sector-specific regulations. Voltquant does not warrant that platform outputs will satisfy regulatory requirements in any jurisdiction.

Do not upload documents containing classified, export-controlled, or nationally sensitive information unless you have confirmed with Voltquant that appropriate security arrangements are in place.

5. Responsibility for AI Output

You accept full responsibility for how you use, act upon, or share outputs generated by the Voltquant platform. Voltquant's AI tools are designed to assist qualified professionals — they are not a substitute for professional judgement. You must not present AI-generated outputs as independently verified professional assessments without having conducted such verification.

Reporting Violations

If you become aware of any use of the Voltquant platform that violates this AUP, please report it to us promptly at support@voltquant.com. We take all reports seriously and will investigate in confidence.

Consquences of Violation

Voltquant reserves the right to suspend or permanently terminate access to the platform for any user or organisation found to be in violation of this AUP, without prior notice and without refund. We may also report violations to relevant authorities where required by law.

Changes to this Policy

We may update this AUP from time to time. Continued use of the platform following notification of changes constitutes acceptance of the updated policy. Material changes will be communicated via email or in-platform notification.
